B&C helps with one of the three largest M&A deals this century: Comcast/Sky plc

Comcast / Sky PLC (2018): valued at roughly £30 billion ($39 billion), the fierce bidding war ended with Comcast acquiring the prominent British pay-TV and media broadcaster.

During the multi-billion-pound acquisition of Sky PLC by Comcast in 2018, several critical legal and financial transaction documents needed to be mailed to Sky shareholders.

The success of the acquisition rested on the timely receipt of these documents by Sky’s shareholders, so its advisors Robey Warshaw turned to B&C due to our unrivalled expertise on complex, time-critical M&A projects.

Teams at B&C worked around the clock, typesetting and personalising key M&A documents before printing and mailing several thousand copies to shareholders according to strict timelines.

These documents included:

  • The Comcast Offer Document: Published on 13 July 2018, this was the primary document detailing Comcast’s initial recommended cash offer. It contained the legal mechanics, financial terms, and the official letter from Comcast's management explaining the background of the deal.
  • Form of Acceptance: A physical, actionable form enclosed with the Offer Document, required for shareholders holding shares in paper "certificated" form to legally tender their holdings.
  • Mandatory Superior Cash Offer Notice: Mailed on 27 September 2018 following the formal Takeover Panel auction process. This final document formalised the top winning bid of £17.28 per share and instructed remaining shareholders on immediate mandatory acceptance.

Both Comcast and its advisors were delighted with B&C’s around-the-clock project management which contributed to the successful outcome of the merger.
