Helping Wise plc with its Dual Listing of Shares on Nasdaq and the London Stock Exchange

We’re thrilled to have helped Wise plc with its Dual Listing of Shares on Nasdaq and on the London Stock Exchange.

Wise - whose current valuation exceeds £10bn and whose mission is to create "money without borders", making international money transfers, payments, and currency management instant, convenient, transparent, and eventually free for people and businesses worldwide - is shifting its primary stock listing to the United States while maintaining a secondary listing on the LSE. 

This move aims to improve access to deeper capital markets and boost its profile among global investors. The transaction also includes a reorganization, transitioning from Wise plc to a new entity, Wise Group plc.

Timeline and key dates:

  • Approval: Shareholders approved the move in July 2025, with over 90% of Class A and 84% of Class B shareholders in favour of the proposal.
  • Prospectus approval: In April 2026, the UK Financial Conduct Authority (FCA) approved the prospectus - which was produced by Black&Callow - for admission to the LSE's Main Market under a new entity, Wise Group plc. Teams from B&C worked around the clock typesetting, proofing, printing and publishing the UK Prospectus for advisors Cooley LLP as part of Wise's Introduction to the Equity Shares (Transition) category of the Official List and admission to trading on the Main Market of the London Stock Exchange.
  • Transition: The last day of trading for current Wise plc shares is expected to be May 8, 2026, and trading in Wise Group plc’s shares are scheduled to begin trading on the LSE on May 11, 2026, with Nasdaq trading commencing the same day.
