Engineering the best outcome: B&C assists with £345m acquisition of Gooch & Housego

We’re delighted to have helped with the £345.6m recommended cash takeover of Gooch & Housego plc by Arlington Capital Partners, valuing G&H at £400.5m on an enterprise value level.

G&H delivers advanced photonics engineering and manufacturing solutions for industrial, telecoms, aerospace, defence, space, quantum, and life sciences applications.

Under the terms of the deal, G&H shareholders receive 1,230.0p in cash per share plus a 4.9p interim dividend, totalling 1,234.9p per share.

Current Status and Timeline

  • Shareholder approval: Shareholders voted to approve the scheme of arrangement in late August 2026.
  • Regulatory clearances: The US Hart-Scott-Rodino (HSR) antitrust waiting period expired in early September 2026, though clearance under the UK National Security and Investment Act remains outstanding.
  • Expected completion: The deal is anticipated to close in the fourth quarter of 2026, subject to remaining regulatory approvals and court sanction.
